Akin Gump regularly counsels clients in connection with the full range of public and private debt and equity transactions. We routinely represent public and private issuers, as well as fund sponsors and underwriters in their financing activities. Our lawyers have led virtually every type of capital markets transaction, including initial and secondary public offerings; shelf registrations and takedowns; offerings of investment-grade, high-yield and convertible debt; tender offers, exchange offers, and repurchase offers; American Depositary Share offerings; commercial paper offerings; and offerings on behalf of REITs. We also have extensive experience advising both issuers and creditors with respect to debt restructuring transactions, both inside and outside of formal bankruptcy proceedings.  Also of note is our specialized experience in transactions involving special purpose acquisition companies (SPACs). In recent years, some of the market’s most sophisticated SPAC investors and underwriters have turned to us as counsel on their deals.

Working side by side with our bank finance, M&A and corporate governance specialists, our capital markets team has structured some of the most sophisticated financing arrangements the market has seen in 2010. We have led transactions across a range of industries and in a multitude of jurisdictions. Last year, we advised on in excess of $36 billion in capital markets transactions.
