Elisabeth Cappuyns represents clients in corporate transactions with a focus on the energy sector. The clients range from companies to investment banks and private investment funds, and the transactions include capital markets transactions (both private placements and registered offerings), financings and private equity transactions. Ms. Cappuyns also advises on general corporate and securities compliance matters. Ms. Cappuyns spent six months in Abu Dhabi when the firm opened its office there in the fall of 2008, and continues to work on matters in the region.
Ms. Cappuyns has worked on various transactions, including the following recent representations—
- advising a private investment fund sponsor in a going-private transaction of a public oil and gas company
- advising a public electric company in the merger with another public energy company
- advising a Canadian CBM company on general corporate and financing matters, including in a financial restructuring
- advising the unsecured creditor committee in a financial restructuring
- advising government-owned entities in Abu Dhabi in private equity and M&A transactions, including investments in a major private equity firm and a major real estate company, and related corporate, cross-border and structuring issues
- advising investment banks regarding the issuance of fairness opinions
- advising investment banks in several equity private placements in the energy sector, including securities offerings by oil, gas and CBM (coalbed methane) companies
- advising underwriters in the IPOs of a zinc recycling company and a natural gas company
- advising underwriters in registered debt securities offerings by an oil and gas company
- advising management teams and underwriters in IPOs of SPACs (special purpose acquisition companies)
- advising an entertainment company in a joint venture to establish a new children’s network
- advising an entertainment company in a cross-border M&A transaction with a U.K. listed company
- advising project managers in a project to add scrubbers to the facilities of a coal-fired electric company.
Prior to joining Akin Gump, Ms. Cappuyns was an associate at two other law firms, in New York and in London.
Ms. Cappuyns received her B.A. in 1995 from Drew University and her J.D. in 1998 from Columbia Law School. She is a member of the New York Bar.
