Erica McGrady Johnson has significant experience in structuring and negotiating complex business transactions for private equity sponsors and their portfolio companies, including mergers, acquisitions, leveraged buyouts, going private transactions, recapitalizations, venture capital/growth equity investments, restructurings and workouts, senior credit financings and mezzanine financings. Ms. Johnson has actively participated in transactions involving companies from a variety of industries, including media and entertainment, telecommunications, commodities and transportation.
In addition, Ms. Johnson advises companies and private equity investors on corporate governance matters, management incentive plans, financings, follow-on acquisitions, restructurings and liquidity events. She has served as corporate and transactional counsel to several debtors as well as official and informal creditors committees in chapter 11 reorganizations, with particular emphasis on sale transactions of distressed companies in chapter 11 proceedings. She also has provided counsel to public companies in connection with the preparation of periodic reports and proxy statements, compliance with SEC and stock market regulations, and general corporate governance matters.
Ms. Johnson is currently a member of the Washington office’s diversity committee.
Prior to joining Akin Gump, Ms. Johnson was an associate in the corporate and securities practice in the Cleveland office of another law firm.
Ms. Johnson earned her B.A. in political science from Miami University in 1993 and her J.D. cum laude in 1996 from the University of Minnesota School of Law. She is a member of the District of Columbia, Virginia and Ohio (inactive) bars and the American Bar Association.
