Benjamin S. Ewing’s practice encompasses all aspects of corporate law, with a particular focus on global business projects, joint ventures, international mergers and acquisitions, and cross-border transactions. He also advises corporate entities, investment fund managers, hedge funds and private equity funds on a wide variety of trade and finance transactions and has gained experience of many multijurisdictional transactions for large corporate clients.

Practice & Background

Mr. Ewing has represented buyers, sellers and investors in all aspects of international trade across a broad range of industry sectors, including oil and gas (upstream and downstream, pipeline construction and associated infrastructure), renewable energy, media and entertainment, telecommunications, engineering, manufacturing and distribution.

Before joining Akin Gump, Mr. Ewing qualified as a barrister-at-law and worked in the Moscow, Hong Kong and London offices of a leading U.K.-headquartered law firm.

Representative Matters

Mr. Ewing’s engagements include:

  • negotiating and drafting term sheets and nondisclosure agreements reflecting the business interests and confidentiality issues of the parties involved
  • creating and managing data rooms on behalf of a wide range of selling entities, conducting detailed due diligence exercises and coordinating regional counsel’s review of all data room documentation in relation to various acquisition entities
  • drafting shareholder agreements, share purchase agreements, asset sale and purchase agreements, loan agreements and securitization documents, farm-in and farm-out agreements, deeds of assignment and novation, emission trading agreements, offering circulars and all ancillary documentation
  • advising international businesses on corporate law and commercial issues and associated implications under the laws of England and Wales.
