Akin Gump Advises Aventine Renewable Energy Holdings in Ethanol Deal

(New York) – Akin Gump advised Aventine Renewable Energy Holdings, Inc. in a definitive merger agreement with Pacific Ethanol, Inc. under which Pacific Ethanol will acquire all of Aventine’s outstanding shares in a stock-for-stock merger transaction.

Aventine is a Midwest-based producer of ethanol and related co-products. Pacific Ethanol is a leading producer and marketer of low-carbon renewable fuels in the Western United States. The closing of the transaction, which is expected to occur in the second quarter of 2015, is subject to customary and other closing conditions and regulatory approvals, as well as the approval of the shareholders of both companies.

Trey Muldrow, a partner in Akin Gump’s corporate practice, led the team advising Aventine. He was joined by counsel Steven Kahn.
