John Ha’s practice focuses on project development, construction, project financing, and mergers and acquisitions in the energy and infrastructure sector, with particular emphasis on renewable energy. Mr. Ha has worked for developers, sponsors, utilities and lenders on a variety of infrastructure, renewable energy and nonrenewable energy project developments, constructions, financings, acquisitions and divestitures.

Mr. Ha is a member of the California Bar.  He received his B.A. from Dartmouth College in 1994, his M.A. from George Washington University, The Elliot School of International Affairs in 1998 and his J.D. from Georgetown University Law Center in 2001, where he was a member of The Tax Lawyer journal.

Representative Matters

  • representation of Caithness Energy in the development, construction and financing of the 845 MW Shepherds Flat wind project in Oregon, including negotiation of the construction contracts for the project and advice on various project arrangements for the $2.2 billion financing, including $1.6 billion in construction and permanent debt guaranteed by the U.S. Department of Energy under the Innovative Technology Loan Guaranty Program
  • representation of Terra-Gen Power in the development, construction and financing (approximately $6 billion) of the 3,000 MW Alta Wind Energy Center in California, including the construction and financing for the project. Financing for this project has included a $115 million equipment financing, a $400 million construction financing and a sale-leaseback financing for the first phase of the project, as well as a $1.2 billion financing for Alta II-V (which included a Rule 144A bond offering, a bank cash grant bridge facility and a forward commitment for a sale-leaseback), making this the first large portfolio of wind projects to use a leveraged lease finance structure in the United States. When completed, this will be the largest multiphase wind project in the United States
  • representation of BrightSource Energy in connection with the development of up to 2,600 MW of solar thermal projects in the southwest United States, including negotiation of the offtake arrangements for the 392 MW Ivanpah Solar Electric Generating System
  • representation of a developer in connection with the development, equipment procurement and construction of 50.6 MW and 99 MW wind energy projects in Maine and New Hampshire.
  • representation of a utility in connection with the equipment procurement and construction of a 90 MW wind energy project in Sanilac and Huron Counties, Michigan.
  • representation of a developer in connection with the development, construction, O&M and sale of various distributed generation solar PV projects in Southern California, including approximately 25 MW of capacity in operation, construction or with executed offtake arrangements
  • representation of a utility in connection with offtake arrangements and purchase of project assets for a portfolio of operating wind project assets totaling 295 MW, purchase of over 500 MW of wind energy development assets and sale of approximately 170 MW of wind energy development assets
  • representation of a sponsor in connection with negotiation of certain offtake arrangements and the construction and term loan financings of the 49 MW Mountain View IV wind project in Palm Springs, California and the 101 MW Armenia Mountain wind project located in Bradford and Tioga Counties, Pennsylvania
  • representation of tax equity investor in the acquisition of commercial and residential distributed generation solar PV projects in California and Colorado and forward commitments to purchase solar PV projects in development aggregating to more than $300 million
  • representation of various sponsors and developers in connection with responses to RFOs and RFPs issued by utilities located in the Western U.S. for wind, solar photovoltaic, solar thermal and geothermal projects
  • representation of lenders in connection with construction and permanent debt financing of utility scale solar PV projects located in California and New Mexico

  • representation of a utility in the procurement of equipment for, and construction of, the 450 MW Biglow Canyon wind projects located in Sherman County, Oregon
  • representation of a utility in the development and construction of a portfolio of coal-fired projects in Texas
  • representation of a developer in the early stage development of an IGCC project in California
  • representation of lenders in the development, turbine supply, construction, term, portfolio and back-levered financings of wind projects throughout the United States, including the Three Winds portfolio financing selected by Project Finance magazine as a "2004 Deal of the Year"
