N. Kathleen Friday, P.C. has extensive experience in a wide range of corporate and securities matters, with particular emphasis in the areas of public company mergers and acquisitions, corporate governance and securities law compliance.
Ms. Friday’s mergers and acquisitions experience includes advising companies on negotiated and contested acquisitions, tender offers, exchange offers, leveraged buyouts, going private transactions, proxy contests and defensive measures.
Recent representative transactions include serving as counsel to—
- a Fortune 500 company in a $6.4 billion leveraged buyout
- a Fortune 500 company in two multibillion dollar acquisitions of other companies
- two hedge funds in successful proxy fights
- more than 25 public companies in connection with the implementation of shareholder rights plans and other defensive measures.
In addition, Ms. Friday regularly advises public companies on a wide variety of corporate governance matters, including requirements under the Sarbanes-Oxley Act and SEC and stock exchange rules, as well as SEC reporting and disclosure issues.
Ms. Friday also heads the firm’s knowledge management and attorney training programs for corporate attorneys.
