Keith Melman is principally engaged in the practice of corporate and securities law, with a concentration in the areas of finance, securities, mergers and acquisitions, and joint ventures. Mr. Melman has represented clients in a wide range of industries, including entertainment, media, manufacturing, health care, and technology and Indian gaming.

Mr. Melman’s transactional experience is varied and includes the representation of clients in public and private debt and equity offerings, mergers, stock and asset acquisitions and dispositions, credit facilities, venture financing, joint venture agreements and a wide variety of general corporate and commercial contracts. Mr. Melman also advises clients in connection with ’34 Act reporting requirements, federal and state securities laws, and other general corporate matters. His recent experience includes advising—

  • a publicly traded technology company in a merger with a private manufacturer of electronics
  • an entertainment company in its negotiation of a $100 million credit facility to finance the acquisition and production of motion picture and television programs
  • an entertainment company in its negotiation of a $25 million credit facility to finance the acquisition of motion picture, television and music revenue participations
  • an investment bank in a $300 million slate financing for a major motion picture studio
  • a multimedia company responsible for one of the nation’s top-ranked syndicated morning radio talk shows in the sale of 51 percent of its stock to a major radio broadcasting company
  • a cable network, record company and other business through various rounds of private financing
  • a national veterinary hospital and laboratory chain in its $76 million acquisition of an animal hospital service company
  • a publicly held engineering services firm in its merger with a publicly held business in the same industry in a stock-for-stock and cash merger valued at $180 million
  • an international pharmaceutical company in the dispositions of its medical imaging business through multiple asset and stock transactions with an aggregate value of $200 million.

Mr. Melman received his B.A. from the University of California at Los Angeles in 1998 and his J.D. in 2001 from the University of California, Hastings College of the Law. He is a member of the California Bar.
