Karen L. Milne concentrates on domestic and international communications matters related to broadcast, satellite, telecommunications, wireless and advanced technology companies, including issues related to licensing, rulemakings, regulatory compliance, acquisitions and commercial transactions.
Ms. Milne has significant experience in FCC regulatory issues relating to the digital television transition, foreign and multiple ownership limits, political broadcasting, children’s television programming, equal employment opportunity rules, indecency regulation, signal carriage issues and other compliance matters. In addition, she represents clients in FCC investigations and enforcement actions. Ms. Milne also has significant transactional experience and regularly assists clients with negotiating and drafting agreements for the acquisition and sale of broadcast assets, as well as negotiating and drafting retransmission consent agreements. Ms. Milne has assisted private equity and hedge funds with structuring communications acquisitions to be FCC-compliant. Ms. Milne’s transactional experience also includes due diligence issues, bankruptcy restructuring matters and assistance with the FCC’s regulatory approval process applicable to communications acquisitions. Ms. Milne also has experience with telemarketing and privacy regulations. Representative clients have included television and radio station group owners, satellite operators, equipment manufacturers, and private equity and hedge funds.
Ms. Milne received her B.A. magna cum laude in English in 1996 from Manhattanville College. Before entering law school, she worked in international and domestic business development for ZDNet and CNET Networks, Inc. She received her J.D. summa cum laude in 2004 from American University's Washington College of Law, where she was a member of Order of the Coif and the American University Law Review. Ms. Milne is a member of the District of Columbia bar and associate member of the Virginia bar and the Federal Communications Bar Association.
