Kristy Wagner’s practice focuses on project development, construction and finance, entertainment and media finance, asset and corporate acquisitions and divestitures. She has represented sponsors, lenders (including project financiers and entertainment financiers), investors, developers and construction contractors in a wide variety of domestic and international transactions.

Representative Matters

Among her engagements, Ms. Wagner has—

  • representation of SunPower Corp. in the supply of photovoltaic modules and related balance of system equipment, design services and technical advice for NRG Energy's 26 MW Borrego Project in San Diego County, California
  • representation of SunPower Corp. in the supply of photovoltaic modules and related equipment to NRG Energy's 92 MW Alpine Solar Project in Los Angeles County, California
  • representation of Rabobank International in the lease financing of a portfolio of commercial distributed generation solar projects developed and installed by SolarCity, located on multiple properties of and selling power to, a large, U.S. retailer
  • represented the developer of a gas-fired power plant in Nevada in the negotiation of a turbine supply agreement and balance of plant contract for the project
  • represented the developer of a gas-fired generating plant in California in the negotiation of an engineering, procurement and construction contract for the project
  • represented the developer of a gas-fired power plant in Illinois in the negotiation of a turbine supply agreement and balance of plant contract for the project
  • represented the developer of a 396 MW wind energy project at an IEC class I site in the state of Oaxaca, Mexico, in the negotiation of an engineering, procurement and construction contract and a service and maintenance agreement
  • represented a leading nuclear turbine manufacturer in the negotiation of an engineering, procurement and construction contract for a new nuclear unit at a Virginia power station
  • represented a leading nuclear turbine manufacturer in the negotiation of an engineering, procurement and construction contract for a new nuclear power station in North Carolina
  • represented the contractor in connection with the negotiation of an engineering, procurement and construction contract and equipment supply agreement for a 110-MW thermosolar electric generating plant to be located in Tonopah, Nevada
  • represented the lead lenders to a 500-MW gas-fired peaking power plant to be located near Los Angeles, California
  • represented the lead lenders to a 400-MW Integrated Gasification Combined Cycle power plant to be located in Penwell, Texas
  • represented the developer and lessee in the sale-leaseback of Phase I of the Alta Wind Energy Center in California—the first large portfolio of wind projects utilizing a leveraged lease structure in the United States. When completed, this will be the largest wind project in the United States
  • represented a major energy company in the drafting and negotiation of a master net railcar lease
  • represented the developer in the tax equity financing of a 50 MW wind energy project in Luna County, New Mexico
  • represented various developers and owners in the negotiation of loan guarantees and grants provided by the U.S. Department of Energy
  • represented various developers and owners in the negotiation of financings provided by Inter-American Development Bank, International Finance Corporation, Asian Development Bank and Export-Import Bank of Korea
  • represented various U.S. banks as lead lender on numerous syndicated secured credit facilities
  • represented JPMorgan Chase Bank, N.A. in connection with the negotiation and documentation of a credit facility in which Lions Gate was the borrower
  • represented JPMorgan Chase Bank, N.A. in connection with the negotiation and documentation of a credit facility in which National Geographic was the borrower
  • represented JPMorgan Chase Bank, N.A. in connection with the negotiation and documentation of a credit facility in which Entertainment One was the borrower
  • represented JPMorgan Chase Bank, N.A. in connection with the negotiation and documentation of a credit facility in which DreamWorks was the borrower
  • represented JPMorgan Chase Bank, N.A. in connection with the negotiation and documentation of a credit facility in which Incentive Filmed Media was the borrower
  • representation of a prominent solar panel manufacturer in connection with a sale and leaseback of photovoltaic solar energy equipment to be installed on a site owned by the City of Galt in California
  • representation of a prominent solar panel manufacturer in connection with a sale and leaseback of photovoltaic solar energy equipment to be installed on a site owned by Castaic Lake Water Agency in California.

Ms. Wagner received her B.A. from Bucknell University cum laude in 2001 and her J.D. from Boston College Law School in 2004.

She is a member of the District of Columbia and New York bars.
