Lloyd MacNeil’s practice focuses on project development, project financing and mergers and acquisitions in the energy and infrastructure sector, with particular emphasis on renewable energy. Mr. MacNeil has worked for developers, sponsors, lenders and investors on a variety of renewable and nonrenewable energy project developments, financings and acquisitions.

Mr. MacNeil is a member of the California Bar. He received his B.S. from Dalhousie University, Faculty of Science in 1990 and his LL.B. from Dalhousie University, Faculty of Law in 1994.

Representative Experience

  • represents a developer in connection with the development and financing (approximately $6 billion) of a 3 GW wind energy center in California, including the acquisition of project development assets and construction and term financing for the project. Financing for this project has included a $115 million equipment financing, a $400 million construction financing and a sale-leaseback financing for the first phase of the project, as well as a $1.2 billion financing for the next four phases (which included a Rule 144A bond offering, a bank cash grant bridge facility and a forward commitment for a sale-leaseback), making this the first large portfolio of wind projects to use a leveraged lease finance structure in the United States. When completed, this will be the largest multiphase wind project in the United States.
  • represented a developer in connection with the development of two wind projects located in the eastern United States
  • represented a lender in connection with the financing of a 130 MW photovoltaic solar project in California.  Debt financing for the project includes both fixed and floating rate facilities and benefits from a U.S. Department of Energy loan guaranty issued under the Financial Institution Partnership Program established by the 2009 American Recovery and Reinvestment Act
  • represented an investor in the acquisition of a 130 MW wind project in Idaho
  • representing a developer and turbine manufacturer in connection with a joint venture to develop 5 GW of wind projects in South Dakota
  • represented a purchaser of a solar project located in Spain
  • represented a developer in a joint venture for the development of several solar projects located in California
  • represented a developer with the acquisition of a portfolio of wind energy assets of approximately 3,650 megawatts located in several Midwestern states
  • represented an investor and developer with the acquisition of a portfolio of wind energy assets of approximately 3500 megawatts located in California; representing the developer in the build-out and financing of such assets
  • represented a developer with the construction of a wind project located in Iowa and the sale of such project to a utility
  • represented a developer in connection with the sale of several wind projects located in Illinois
  • represented an investor in the acquisition of a strategic interest in a wind project located in Texas
  • represented a developer in connection with the sale of a portfolio of wind projects in various stages of development to a foreign purchaser
  • represented an agent bank in the provision of turbine purchase financing for various wind projects located in Canada and the United States
  • represented a developer in connection with a long-term operation, maintenance and parts supply transaction with an equipment supplier for a gas-fired power plant in New York
  • representing a developer and manufacturer in the sale of over $3 billion of long-term wind turbine equipment purchases for the development of wind projects in North America
  • represented a sponsor in the over $1 billion sale of a portfolio of renewable energy projects located in North America
  • representing a developer in the development of a wind project located in California.
