Nancy Chung focuses on complex commercial, white collar criminal defense, securities and bankruptcy litigation for private equity funds, hedge funds, major financial institutions, multinational corporations and individual investment professionals. She has handled high-profile multidistrict litigation, government investigations and arbitrations involving breaches of fiduciary duties and various representations and warranties, securities and accounting fraud and other regulatory matters.

Ms. Chung regularly advises and represents leading investment fund clients and their portfolio companies and M&A clients in managing and assessing their litigation risks with regard to their investments, debt offerings, acquisitions, joint ventures and other related transactions on an ongoing basis in the United States and in various foreign jurisdictions, including the United Kingdom and emerging markets such as China and Eastern Europe.

Ms. Chung’s significant representations include—

  • counsel for a leading clean technology and emerging markets investment fund client in connection with defending a securities fraud litigation involving a Chinese company, in which the fund is an early equity minority investor
  • counsel for a major private equity firm client, one of the largest senior secured lenders in the Lyondell chapter 11 proceedings, in a $22 billion lawsuit commenced by unsecured creditors relating to the company’s 2007 leveraged buyout
  • litigation victory on behalf of a multibillion-dollar investment fund client in dismissal of securities fraud and other contract claims based on forum non conveniens involving Bahamian and Cayman incorporated funds
  • counsel for a major investment fund client in connection with an SEC investigation of an outside manager who managed an investment in residential mortgage-backed securities and CDOs
  • counsel for a multibillion-dollar investment fund client in London proceedings where purchaser (another major investment fund) alleged fraud, misrepresentation and breach of warranty claims regarding a resale of shares in an Eastern European company
  • litigation victory on behalf of a private family foundation in vacating an ex parte order appointing an interim board of directors and successfully argued First Department appeal affirming the trial court’s decision
  • counsel for a multibillion-dollar private equity firm and its senior managing partner in defense of multiple fraud suits in New York and Delaware Chancery Court, including fraudulent transfer claims in connection with an LBO-style acquisition
  • lead fund counsel for two major private equity firms and their principals, in connection with extensive gaming licensing regulatory approvals process for their respective acquisitions of Harrah’s Entertainment and Penn National Gaming
  • counsel for a major Korean conglomerate in an international ICC arbitration in which a co-consortium member sought to exercise its put option with respect to its purchase of shares in Korea’s largest insurance company, involving the application of Korean law.

Ms. Chung was appointed firmwide chair of Akin Gump’s diversity committee in the spring of 2010 and is a member of the hiring committee of the New York office. She is also a founding member of the pro bono committee of the New York office and has handled or overseen numerous pro bono matters in that capacity.

Ms. Chung received her B.A. in political science and English with honors from Vassar College in 1991 and her J.D. from the Georgetown University Law Center in 1995. Ms. Chung was a Fulbright Scholar from 1991 to 1992 in Seoul, Korea. During law school, she was a summer law clerk at the Department of Justice, The Office of Special Counsel for Immigration-Related Unfair Employment Practices, a department presently within the Civil Rights Division.

Ms. Chung is a member of the New York and New Jersey bars.
