Nancy Sarmiento’s practice focuses on all aspects of corporate and securities laws. Ms. Sarmiento has represented issuers and underwriters in public securities offerings; buyers and sellers in public and private mergers, acquisitions and dispositions; early-stage companies; and venture and investment funds. Her recent representations have included—

  • a private equity company and its portfolio companies in ongoing corporate matters, including governance, corporate contracts, and mergers and acquisitions
  • a marketing services company in its sale to a strategic buyer and subsequent $200 million sale of the buyer to another strategic buyer
  • a medical practice in its restructuring as a medical service organization and investment by a private equity firm
  • a public television show in its sale to a private equity company
  • a special-purpose acquisition company in its initial public offering and in its $582 million business combination
  • a public medical insurance and financial services company in ongoing corporate and securities matters, including its $223 million sale via merger to a competitor
  • a public consumer products company in ongoing general corporate and securities matters, including its Securities and Exchange Act filings, equity line of credit, stock option repricing tender offer and reverse stock split
  • an insurance brokerage company in its corporate restructuring, credit facility and sale to a competitor
  • a national radio broadcast and outdoor advertising company listed on the New York Stock Exchange in a leveraged buyout transaction with an enterprise value of $27 billion
  • a publicly traded, self-administered real estate investment trust in the $250 million acquisition of a 21-hotel portfolio
  • a public hotel company in a $200 million Rule 144A debt offering
  • a rent-to-own company in connection with a going-private transaction
  • a public pharmaceutical company in the $175 million asset sale, license and stock sale of the company’s pediatrics division to another public pharmaceutical company
  • a private motion picture company in its $1.5 billion recapitalization and subsequent $532 million initial public offering
  • a leading provider of transaction, credit and marketing services in connection with two secondary equity offerings aggregating $437 million
  • a special-purpose acquisition corporation in its formation and initial public offering of equity units
  • issuers and underwriters in a number of underwritten public offerings of equity securities
  • local, national, private and public companies regarding general corporate and securities matters.

Ms. Sarmiento’s work on behalf of clients has been recognized by a variety of media and ranking organizations. Among others, she was—

  • selected by D Magazine as one of the Best Lawyers in Dallas in the area of Mergers and Acquisitions in 2012
  • selected as a Texas Super Lawyer Rising Star in 2009, 2010, 2011 and 2012.

Ms. Sarmiento is currently a member of the Dallas office’s diversity, associate and pro bono committees and is active in the firm’s women’s initiative, including through her efforts organizing internal women’s meetings and external women’s networking poker events and speaking both internally and externally as a CLE presenter on various corporate matters.

Ms. Sarmiento received her B.A. in Spanish in 1997 from the University of Texas at Austin and her M.B.A. and J.D. cum laude in 2002 from Southern Methodist University, where she was chief counsel at the university’s Tax Clinic. She is a member of the State Bar of Texas.
