Oleg Isaev advises clients on a variety of domestic and cross-border transactions, focusing primarily in the areas of mergers and acquisitions and general corporate matters. He has also had extensive experience in advising clients on corporate financing transactions, antimonopoly and oil and gas legislation and compliance issues. In addition, Mr. Isaev also counsels clients on matters relating to placement of securities, financing, currency regulation and currency control issues, as well as various commercial contracts.
Mr. Isaev’s recent experience includes—
- providing legal advice to the shareholders of a large Russian vodka producer in a structured sale of their majority equity stake to a major Western alcoholic beverage producer and the subsequent sale of the remaining minority stake
- representing shareholders of an independent Russian oil company in a joint venture with a strategic investor
- representing a U.K.-registered company with Russian gas assets in the process of its admission to, and placement of its shares on, AIM of the London Stock Exchange
- advising a major Russian electronics retail company in connection with the process of its preparation for an initial public offering of shares on the London Stock Exchange
- advising a major Russian oil and gas company in connection with a Eurobond offering
- counseling a Guernsey company with Russian gas assets in connection with the process of its preparation for the placement of its shares
- advising various investment funds investing in Russian assets in connection with the placement of their shares
- advising an independent Chinese investor seeking to invest in infrastructure and mining projects in the Far East region of Russia
- representing a major international oil and gas service company in connection with an acquisition of a Russian subsidiary.
Mr. Isaev received his LL.B. in international law from the Moscow State Institute of International Relations (MGIMO) in 2004 and his LL.M. in international law and law of the European Union from MGIMO in 2006. He is a native speaker of Russian, is fluent in English and has working knowledge of French.
