Olga Zorina specializes in advising both domestic and international companies on mergers and acquisitions, private equity transactions, joint ventures, corporate restructuring and general corporate matters.
Ms. Zorina’s recent representative experience includes advising—
- Geotech Oil Services Holding, a major Russian oilfield services company, on private placement of shares to institutional investors
- Altimo (formerly Alfa Telecom) on a number of corporate issues in connection with its investments in a major Russian telecommunications company
- Alfa-Access-Renova consortium (AAR) on the amendment and restatement of the shareholders’ agreement for TNK-BP
- Prof-Media Group, a major Russian media holding company, on a sizable acquisition of the Russian TV broadcasting company TV3
- the shareholders of Mosmart on a debt and equity restructuring with Sberbank
- the Cherkizovo Group, one of Russia's leading integrated diversified meat producers, on an acquisition of 100 percent of the shares in the holding company of OAO Chicken Kingdom from a group of U.S. private equity investors
- AREIM, a major real estate investment company, on the establishment of a JV with Amma Development, a Russian development company, for the development of 20 mega-malls
- X5 Retail Group on the acquisition of 40 franchise retail stores in the city of Chelyabinsk
- Finstar, a major Russian financial group, on the acquisition of Rive Gauche, a major premium perfume retail chain
- Finstar on the establishment of a JV with Delta Holding for retail operations in Ukraine and Belarus
- the independent directors committee of Norilsk Nickel on the buyback of shares and various corporate transactions
- a major Chinese power generation company on a joint venture project in Russia.
Prior to joining Akin Gump, Ms. Zorina worked in the Moscow office of an international law firm.
Ms. Zorina received her D.L., with honors, from the Moscow State Institute of International Relations (MGIMO) in 2003 and her LL.B. from MGIMO in 2002. She speaks and writes both English and German and enjoys native fluency in Russian.
