Peter A. Miller heads Akin Gump’s real estate and finance practice group. Mr. Miller has extensive experience in real estate finance, with an emphasis on acquisitions, development, joint ventures and financings. He represents owners and developers of investment properties, including private equity funds and other emerging titleholders in the real estate market. Mr. Miller is often called upon for his skill in managing the complex financial or partnership arrangements that arise in large-scale transactions. In addition, he represents financial institutions in the purchase and sale of senior-junior participation interests, A-B notes and mezzanine loans.
Mr. Miller has worked on a number of high-profile real estate transactions. Some of his notable representations have included—
- an investment bank in the development of global headquarters, which involved extensive negotiations with the owners of Grand Central Station, including the negotiation of a forced account agreement with the Metropolitan Transportation Authority
- a major New York real estate development organization in its $3.2 billion acquisition of the World Trade Center leasehold interests
- an investment bank in the development and financing of its new world headquarters, including the structuring of a $700 million synthetic lease for the 1.2 million square foot building
- a major New York City developer in connection with the development of a 900,000 square foot mixed use development, including the negotiation and acquisition of the development parcel from the City of New York, the negotiation of construction financing and mezzanine financing and the negotiation of complex operating agreements and an equity conversion option
- a major New York developer in the development and financing of the Bacara Resort and Spa, a $200 million, 78-acre luxury resort in Santa Barbara, California.
Mr. Miller received his B.S. in 1980 from the University of Pennsylvania’s Wharton School of Business and his J.D. in 1984 from the New York University School of Law. He is a member of the New York Bar and a frequent lecturer on real estate issues.
Mr. Miller has been recognized in 2010 by Chambers USA: America’s Leading Lawyers for Business as a leading lawyer in the area of real estate.
A member of the executive committee of the Lawyers Division of the UJA Federation of New York, Mr. Miller also serves on the board of overseers of the Jewish Theological Seminary’s Rabbinical School; on the board of Madeleine Borg Community Services, a division of Jewish Board of Family and Children Services, Inc.; and on the board of directors of Vacamas Programs for Youth.
