Ronald W. Goldberg has extensive experience in all aspects of transactional banking, finance, leasing and derivatives. His practice is focused on hedge, private equity and distressed debt investment funds; foreign banks engaged in business in the United States; U.S. banks and financial institutions; sophisticated international borrowers; and airlines and aircraft and leasing companies involved in complex multi-jurisdictional transactions.

Mr. Goldberg has detailed knowledge of transportation finance and airline insolvency matters, in addition to particular experience in complex financial derivatives, hedge and private equity fund financing, domestic and cross-border equipment leasing and project finance, multicurrency syndicated secured and unsecured lending, aircraft finance, domestic and Euro commercial paper and medium-term note programs, and financial transactions in Latin America.

Over the last decade, Mr. Goldberg has advised in numerous innovative financing and restructuring transactions involving all types of lending, credit enhancement, equipment leasing and project finance. He has represented hedge and investment funds in sophisticated leverage and derivatives transactions as well as aircraft lessors and airlines; major U.S. and offshore investment funds; U.S. money-center banks; and European and Asian banks doing business in the United States through branches and agencies.

Among his representative matters, Mr. Goldberg—

  • represented a U.S. airline for many years in all of its aircraft finance and leasing, procurement and maintenance matters
  • represents numerous hedge and investment funds in all types of financing and derivatives matters, including complex, multijurisdictional fund-of-fund finance and liquidity facilities
  • was actively involved in United Airlines’, Delta Air Lines’ and Northwest Airlines’ chapter 11 proceedings on behalf of hedge fund, bank and secured bondholder creditors.

He has experience in all aspects of formal and out-of-court restructurings, providing advice on prepetition, debtor-in-possession and exit credit facilities.

Mr. Goldberg also has represented governmental entities, corporate borrowers and high-net-worth individuals engaged in sophisticated financial activities including synthetic derivatives transactions and issuance of domestic and offshore debt securities. He has particular experience in the regulatory and legal constraints involved in operating and investing in Latin America, principally in Brazil, Argentina and Chile, and he is fluent in Portuguese and Spanish.

Mr. Goldberg received his A.B. cum laude in 1982 from Columbia University. He received his J.D. in 1986 from New York University School of Law, where he was a member of Order of the Coif, and he also received his M.B.A with distinction in 1986 from New York University.
