Biography
  • Representing clients in the area of executive compensation and employee benefits for more than 20 years, particularly with regard to tax, the Employee Retirement Income Security Act (ERISA), securities law and accounting issues.

Rolf Zaiss represents start-up companies and some of the largest public corporations in the United States. He has extensive experience in the employee benefits aspects of mergers and acquisitions, both public and private, domestic and international. Rolf represents targets and acquirers in hundreds of corporate transactions, as well as companies undertaking initial public offerings.

Rolf also represents private equity investors, employers, individual executives and management groups in the negotiation, structuring, drafting and implementation of employment, severance, change in control, deferred compensation and equity arrangements.

Prior to undertaking the practice of law, Rolf worked as a senior research analyst on Wall Street doing anti-takeover analysis and served as a sergeant in the United States Army.
