Sandra W. Hallmark represents public and private companies and financial institutions in a wide range of transactions, including mergers, acquisitions and divestitures; joint ventures; domestic, international and cross-border structured financial transactions; project finance transactions; leveraged leasing; Islamic Shari’ah-compliant investments and financing; monetizations; financial insurance products; and commercial real estate development, leasing and finance.
Ms. Hallmark’s transactional practice includes serving as counsel to the following:
- numerous public and private companies in joint ventures involving strategic assets
- numerous public and private companies in acquisitions and divestitures
- numerous public and private companies and financial institutions in structuring and negotiating financial transactions, including domestic and international transactions involving complex financial instruments, U.S. and foreign entities, leasing and insurance products
- a global chemical manufacturing company in connection with mergers and acquisitions, joint ventures, project finance, leverage leasing and other financial transactions and commercial contracting
- numerous public and private companies in domestic and international commercial contracting, including service contracts, sales agreements and purchasing
- Islamic funds in connection with structuring and negotiating their investments in U.S. real property
- a commercial real estate company in its construction, leasing, acquisitions, dispositions, joint ventures and financing.
Prior to joining Akin Gump, Ms. Hallmark practiced with another international law firm. Before entering private practice, Ms. Hallmark served as an attorney-advisor in the Legislation & Regulations Division of the Internal Revenue Service Office of Chief Counsel, where she assisted in the development of tax regulations, rulings and other tax policy matters.
Ms. Hallmark received her B.A. from Brandeis University in 1977, her J.D. from the Benjamin N. Cardozo School of Law in 1983 and her LL.M. in taxation from the Georgetown University Law Center in 1986. She is a member of the New York, Texas and District of Columbia bars and is admitted to practice before the U.S. Tax Court.
Ms. Hallmark is a co-author of the treatise Federal Taxation of Partnerships and Partners: Structuring and Drafting Agreements (WG&L 2003). She has been named as a leading corporate and tax lawyer in The Best Lawyers in America (2005-2012) and as a leading lawyer in the area of mergers and acquisitions in The Legal 500: United States (2006-2011).
