Biography

Seth retired from the partnership in 2022 after over 40 years with the firm. His practice focused on complex securities and business transactions, including cross-border matters, for public and private companies.

Seth served as lead counsel on public equity and debt offerings, private placements, venture capital transactions and mergers and acquisitions. He advised on public offerings and private placements of equity and debt securities representing both issuers and underwriters in a wide range of industries, including energy, technology, health care, retail, entertainment and transportation. Seth handled over 25 initial public offerings and hundreds of debt, secondary, follow-on and rights offerings.

Seth also regularly led multibillion-dollar corporate mergers and asset purchase and sale transactions, primarily in the energy, technology, manufacturing and retail industries. He also advised on cross-border transactions involving companies in South America, Europe and Central Asia.

Securities Transactions

  • Represented a financial services company in its offer and sale of $500 million aggregate principal amount of its 7.0% senior notes due 2026.
  • Represented a midstream company in its $764.8 million initial public offering.
  • Represented an exploration and production company in a $2.2 billion senior notes offering, comprised of $650 million 0.900% senior notes due 2023, $900 million 3.125% senior notes due 2031 and $650 million 4.400% senior notes due 2051.
  • Represented a midstream company in a $500 million offering of 5.625% senior notes due 2025.
  • Represented an exploration and production company in its tender offers for up to $800 million of senior notes and $1.6 billion in aggregate principal amount of senior notes issued by one of its wholly-owned subsidiaries.
  • Represented an exploration and production company in its tender offer for up to $400 million of 4.625% senior notes due 2021.
  • Advised an oilfield services company in its initial public offering.
  • Represented an exploration and production company in its initial public offering and subsequent follow-on and secondary offerings with an aggregate value in excess of $1.5 billion.
  • Represented the sole initial purchaser in a $1.3 billion high-yield debt offering.
  • Represented the underwriters in the $212 million initial public offering of an exploration and production company.

Corporate/M&A Transactions

  • Represented an exploration and production company in its $2.2 billion acquisition of an NYSE-traded company.
  • Represented an exploration and production company in its definitive purchase agreement to acquire all leasehold interests and related assets of a private equity-backed company for cash and stock in a transaction valued at approximately $830 million.
  • Advised a midstream company in its 50/50 joint venture to own, operate and expand a natural gas gathering and processing system in the Midland Basin.
  • Represented an exploration and production company in its acquisition of leasehold interests and related assets for $1.24 billion.
  • Represented a midstream company in its $355 million acquisition of a gathering system.
  • Represented a minerals company in its acquisition of certain mineral and royalty interests in exchange for common stock and cash in a transaction valued at approximately $570 million.
  • Represented the purchaser in a $7.1 billion acquisition of an NYSE-traded oil and gas company.
  • Acted for the seller in a $3.1 billion sale of equity interests in an oil and gas company.
  • Advised a private equity firm in a $630 million sale of an oilfield services company.
  • Served as counsel to a private equity firm in the $225 million sale of an oilfield services company.
