Sean E. O’Donnell focuses on complex commercial litigation and arbitration, including trial and appellate work, with a concentration in commercial real estate, insurance, financial restructuring, corporate and securities offerings disputes.
Mr. O’Donnell represents a variety of clients, including real estate developers, insurance and financial advisors, brokerage firms, commercial lenders, private equity organizations, telecommunications companies, creditors’ committees, venture capitalists and other individual professionals.
Recently, Mr. O’Donnell conducted a four-week jury trial based on a claim for tortious interference with contract, which involved the valuation of a loan restructuring agreement and an “equity kicker” in a commercial building in midtown Manhattan. Other cases he has tried include the valuation and restructuring of a $500 million inland barging business and an alleged equity participation in over 20 commercial and residential buildings in Manhattan. He also has argued a variety of complex appeals concerning issues such as the impact of the Financial Institutions Reform, Recovery and Enforcement Act of 1989 on state contract rights; the applicability of the common interest privilege and the attorney work product doctrine; and what fiduciary duties, if any, are generally owed among commercial loan participants.
Mr. O’Donnell received his B.A. in 1994 from the State University College of New York at Oswego and his J.D. in 1997 from Fordham Law School. He is a member of the New York Bar. He is the coauthor of “Trademark Dilution Proof in Flux,” New York Law Journal (February 14, 2000).
