Sergey Romanov’s practice primarily focuses on debt and equity capital markets, mergers and acquisitions and general corporate matters. He has participated in advising both Russian and foreign clients on various aspects of IPOs, Eurobond issues, corporate restructuring, local and cross-border acquisitions and establishment of joint ventures. His experience covers a number of industry sectors, including mining, retail, banking, investment, insurance, energy and stevedoring.
Mr. Romanov’s most recent experience includes advising—
- RusHydro on its debut RUB 20 billion LPN issue
- a Russian mining company on its pre-IPO restructuring and related matters
- Barclays Bank Plc as arranger in connection with the update of Russian Agricultural Bank’s $10 billion LPN Programme and drawdowns under the Programme
- Vester, a retailer operating in Russia, Belarus, Ukraine and Kazakhstan, on the sale of a stake in it to Sberbank Capital
- a global leading insurance company, on various matters related to its investments in Russia
- VTB Bank and VTB Capital, in connection with its equity investment in the share capital of Mariysky Oil Refinery
- a Russian leading shipping company, on the proposed acquisition of a stake in a Far Eastern port.
Mr. Romanov received his J.D. with honors from Moscow State University in 2005 and his economics degree with honors from the Finance Academy under the Government of the Russian Federation in 2008. He is a native speaker of Russian and is fluent in English.
Prior to joining Akin Gump, Mr. Romanov worked as an associate at an international law firm in Moscow.
