Ackneil M. (Trey) Muldrow, III focuses his practice on merger and acquisition transactions. This focus has allowed Mr. Muldrow to serve as lead counsel in a variety of sophisticated domestic and international public and private mergers, acquisitions, divestitures and carve-out transactions, joint ventures and control and minority investments. Mr. Muldrow’s clients have included corporate, private equity, hedge fund and sovereign development company sponsors. During the recent financial downturn, Mr. Muldrow provided counsel to creditor committees in out-of-court and in-court proceedings relating to Washington Mutual Inc., Bally Total Fitness, R.H. Donnelley, Hawkeye Renewables, LLC and Aventine Renewable Energy.

Recent M&A Transactions

  • Hawkeye Renewables, LLC in its sale of substantially all of its assets to Flint Hills Resources LLC, an affiliate of Koch Industries
  • Thor Industries, Inc. in its $295 million acquisition of Heartland Recreational Vehicles from private equity sponsor, Catterton Partners
  • The Great Atlantic & Pacific Co. in its divestiture of significant grocery store assets in connection with a pending merger with Pathmark
  • Pfizer Inc. in its divestiture program of certain legacy manufacturing facilities.

Recent Strategic Investments/Refinancings

  • Mubadala Development Company in its $500 million follow-on investment in The Carlyle Group
  • Mubadala Development Company in a carve-out transaction with The Viceroy Hotel Group
  • Mubadala Development Company as lead consortium investor in a $1 billion investment in The Related Companies
  • Cyrus Capital in the refinancing of the sponsor and management-led financing of Virgin America
  • Longacre Capital in the sale by certain principals of minority stakes to Goldman Sachs
  • DiMaio Ahmad Capital in connection with minority stake investments by Morgan Stanley and by Merrill Lynch
  • Angelo, Gordon & Co. in an asset management acquisition that was recognized by Crain’s as “Deal of the Year.”

Mr. Muldrow is also frequently called upon to advise senior executives and boards of directors of private and publicly traded companies to serve as outside general counsel and provide advice on complex aspects of corporate governance, as well as on compliance with the federal securities laws.

Mr. Muldrow has had several speaking engagements with The Corporate Board Member, The Practicing Law Institute, Private Equity International, Minority Corporate Counsel Association, firm panels for the benefit of private equity and hedge fund professionals.

Mr. Muldrow is the leader of the New York office diversity committee and he also sits on the firm’s diversity committee.

Mr. Muldrow is member of the Corporation Law Committee of the New York City Bar.

Mr. Muldrow received his A.B. in 1992 from Princeton University (Woodrow Wilson School of Public and International Affairs) and his J.D. in 1995 from the University of Virginia School of Law. He is a member of the New York State Bar.
