Ackneil M. (Trey) Muldrow III concentrates his practice in the field of mergers and acquisitions. Mr. Muldrow has served as lead counsel in a wide variety of U.S. and international corporate transactions, including public and private mergers, acquisitions, divestitures and carve out transactions, control and minority investments made by private equity, hedge funds and sovereign development companies, joint ventures and strategic alliances, and restructuring transactions. Mr. Muldrow also has extensive experience in exchange offers, recapitalizations, private placements of equity and debt securities (including PIPE transactions), representing both sell side and buy side participants.
Mr. Muldrow is also frequently called upon to advise senior executives and board members of private and publicly traded companies on various aspects of corporate governance, as well as on compliance with the federal securities laws.
Mr. Muldrow’s recent domestic and cross-border representations include—
- sovereign development company in a carve out transaction with a recognized international boutique hotel company and in connection with its investment (along with a consortium of leading private equity firms and sovereign investment groups) in a leading real estate development company
- several hedge funds in connection with investments made by Goldman Sachs, Morgan Stanley, Merrill Lynch and Old Mutual of minority and control positions
- NYSE-listed Northeast-based grocery store chain in its divestiture of approximately 35 stores in 60 days in connection with a pending merger
- NYSE-listed international pharmaceutical company in its divestiture program of legacy manufacturing facilities
- private equity fund in an asset management acquisition that was recognized by Crain’s Magazine as one of the 2006 Deals of the Year
- hedge fund in (i) its acquisition of a service provider in the life settlements market, (ii) its subsequent sale of a minority interest to Morgan Stanley and the development warehouse facility to finance the acquisition of policies and (iii) a carve out joint venture transaction with Cantor Fitzgerald
- a NASDAQ-listed U.S. retailer in a series of PIPE transactions in connection with its financial turnaround efforts and a subsequent public offering by the investors of a portion of their equity holdings
- a NYSE-listed U.S. recreational vehicle company in several add-on acquisitions of competitive and complimentary business units from private equity firms and industry competitors
- a NYSE-listed U.S. pharmaceutical company in a series of exchange offer transactions and a Rule 144A debt offering
- a NASDAQ-listed leading Internet wedding Web site in (i) a series of equity financing transactions with private equity firms, The May Company and QVC, (ii) the acquisition of companies with complimentary of business lines (travel, photograph, written publications) and (iii) a series of joint venture transactions with traditional retailers including The May Company, Fortunoff and QVC
- a film production company in connection with its control acquisition of First Look Studios, an international film distribution company
- hedge fund in its bridge financing transaction used for the acquisition of an Italian shoe company
- hedge fund in its financing of a company based in India and the company’s follow-on purchase of an English financial services outsourcing company
- hedge fund in connection with a squeeze out transaction of TIM Hellas, a Greek telecommunications company, initiated by U.S. private equity funds
- Mexican telecommunications company in a series of registered exchange offer transactions for maturing convertible notes.
Mr. Muldrow received his A.B. in 1992 from Princeton University (Woodrow Wilson School of Public and International Affairs) and his J.D. in 1995 from the University of Virginia School of Law. He is a member of the New York State Bar. Mr. Muldrow has had several speaking engagements with The Practicing Law Institute, Private Equity International, Minority Corporate Counsel Association, firm panels for the benefit of investment professionals and the Sponsors for Educational Opportunity Program. Mr. Muldrow is member of the Corporation Law Committee of the New York City Bar. Mr. Muldrow is also a participant in the Youth About Business leadership development program.
