Wendy Curtis is Counsel in the firm’s Dallas office and is a member of the firm’s corporate section. Ms. Curtis advises clients on domestic and international corporate finance transactions, particularly in the areas of high-yield debt offerings and capital restructurings of financially distressed companies. She also regularly advises clients with respect to securities law and general corporate matters. Ms. Curtis’ representative transactions include serving as counsel to—
- a global logistics company in connection with several Rule 144A secured debt offerings, debt tender offers and an international debt exchange offer
- a group of backstop purchasers in connection with an equity rights offering for a global automotive parts manufacturer
- an international publishing company and various private equity funds in connection with resales of restricted securities
- a real estate brokerage franchisor and residential real estate brokerage firm in connection with a $3.1 billion Rule 144A debt offering of senior notes, senior PIK toggle notes and senior subordinated notes and related registered exchange offer.
Ms. Curtis is a member of the State Bar of Texas, the Dallas Bar Association, the Dallas Regional Chamber’s Workforce and Education Task Force and serves as Co-Chair of the Newsletter Committee for the Business Law Section of the State Bar of Texas. Ms. Curtis enjoys volunteering as a tutor at a local elementary school and was recently honored by the Dallas Volunteer Attorney Program for her work with the Human Rights Initiative of North Texas.
Ms. Curtis received her B.B.S. from Dallas Baptist University in 2002 and her J.D. cum laude in 2005 from Southern Methodist University, where she was a member of the Moot Court Board and Phi Alpha Delta and served as a chief justice in the legal clinic. In her spare time, Ms. Curtis enjoys playing soccer in a Dallas area women’s soccer league.
