Representative Matters

  • Advised Tug Hill and its affiliates in connection with Chesapeake Energy Corporation’s $2-billion acquisition of a natural gas pipeline company and associated non-operated interests held by affiliates of Tug Hill.
  • Represented Evercore Group as the financial advisor to the special committee of the board of directors of DCP Midstream GP LLC on the $3.8-billion acquisition by Phillips 66 of all of the publicly held common units of DCP Midstream LP.
  • Advised Rattler Midstream Operating in the sale of all of its 43% membership interest in OMOG JV LLC for $225 million.
  • Counseled Spire in its agreement to acquire MoGas Pipeline, an interstate natural gas pipeline, and Omega Pipeline, a connected gas distribution system, from CorEnergy Infrastructure Trust Inc., for $175 million.
  • Assisted Enterprise Products Partners in forming a JV with Apache Corporation to own the Shin Oak liquids pipeline.
  • Represented Diamondback Energy in the formation of its strategic JV with Five Point Energy, Deep Blue Midland Basin, which creates the largest independent water infrastructure platform in the Midland Basin.
  • Counseled Rattler Midstream in its formation of a JV with a private affiliate of an investment fund and in the JV’s acquisition of a majority interest in a Midland Basin gas gathering and processing company from West Texas Gas Inc. and its affiliates.
  • Acted as counsel to the debtor and its affiliate, a diversified midstream business operating in the Gulf Coast, in restructuring more than $364 million of unsecured notes, which involved an out-of-court exchange, tender offer and solicitation of votes on a prepackaged plan of reorganization.
  • Advised Rattler Midstream in its $765-million (NASDAQ) initial public offering (IPO) of common units in an Up-C structure.
