In the area of mergers and acquisitions, we provide strategic advice on merger planning and negotiations and representation before federal and state agencies, advising clients on allocating risk in strategic transactions and shepherding clients through increasingly aggressive antitrust agencies. We are defending, or have defended, civil class action lawsuits alleging joint conduct, monopolization and vertical distribution issues, including multidistrict litigation and cases following on government civil and criminal prosecutions. We defend civil and criminal investigations, not only in antitrust matters, but also in those involving related competition laws such as the Foreign Corrupt Practices Act (FCPA), False Claims Act (FCA) and consumer protection laws. We appear regularly before the U.S. Department of Justice, the Federal Trade Commission, state attorneys general and federal regulatory agencies on antitrust and competition matters. Our practice includes a significant international component, involving mergers and acquisitions, criminal representations and litigation crossing national boundaries. Finally, we are active in providing advice on a range of legislative and public policy matters arising in the nation’s capital, offering integrated substantive and legislative solutions with members of our public law and policy members with specific antitrust experience.
