- Represents public and private companies and private equity funds in corporate and securities matters.
- Handles M&A transactions, special situations and distressed transactions.
Kathryn advises clients in connection with a wide range of corporate transactions, including mergers and acquisitions, dispositions, leveraged buyouts, carve-outs, internal restructurings, equity investments and joint ventures.
Kathryn has represented clients across a variety of industries, including retail, technology, health care, insurance, nutrition, aerospace and energy.
Representative Work
- Advised a buyer entity, formed by MPK Equity Partners, AHR Growth Partners and PNC Riverarch Capital, in its stock acquisition of Sola Salon Studios LLC and Sola Franchise LLC.
- Advised sellers on the sale of two privately held companies in exchange for cash consideration, rollover equity, a buyer note and earnout consideration.
- Represented a private equity fund with more than €67 billion in assets under management in connection with local and cross-border transactions.
- Represented a health care industry client in connection with multibillion dollar strategic acquisition and complex carve-out and restructuring transaction.
- Represented 7-Eleven, Inc. in its $21 billion acquisition of 3,800 Speedway convenience stores.
