Ross Karlik concentrates his practice on corporate and transactional matters. He is detail-oriented, practical and extremely responsive to his clients’ needs. Ross develops creative, tactical solutions in the following areas:

  • Mergers and acquisitions

  • Private equity transactions
  • Corporate governance.
Representative Work
  • Represented certain funds managed by affiliates of Apollo Global Management, LLC, in their acquisition of a controlling interest in CareerBuilder LLC.
  • Represented RCCH HealthCare Partners, which is owned by certain funds managed by affiliates of Apollo Global Management, LLC, in its merger with LifePoint Health, Inc.
  • Represented a consortium led by Durational Capital Management LP in its acquisition of Bojangles’, Inc.
  • Represented a consortium led by Intermediate Capital Group and Goldman Sachs Asset Management in their co-investment in a fund acquiring Alerian, a provider of energy infrastructure indices and market intelligence.
  • Represented Intermediate Capital Group in its co-investment with Quadriga Capital Funds, a private equity and venture capital firm, in Vescon Group, Schiller Automatisierungstechnik GmbH and Schiller Engineering & Maschinenbau GmbH, which focus on automation, logistics and cleanroom technology.
  • Advised The Pace Companies New York, LLC, in strategic partnership with Aterian Investment Partners.
  • Represented Bardin Hill Investment Partners (f/k/a Halcyon Capital Management) in its sale of a minority stake to TPG Sixth Street Partners and Dyal Capital Partners.
  • Represented Brightwood Capital Advisors in its capacity as lead arranger, investor, lender and administrative agent under a term loan credit facility, revolving credit facility and an equity investment in connection with the acquisition of a network of healthcare clinics by a leading global private equity firm.
  • Represented Brightwood Loan Services as lead arranger, lender and administrative agent under a term loan credit facility in connection with the acquisition of Tosca Services, LLC, by Apax Partners, LLP.
