Akin Gump Advises Gushan Environmental Energy Limited on Merger and Take-Private Agreement

(Hong Kong) A team of Akin Gump attorneys has been retained by a special committee of Chinese copper products manufacturer and producer of biodiesel Gushan Environmental Energy Limited in its agreement to merge with Trillion Energy Holdings Limited and Trillion Energy Investments Holdings Limited. Trillion Energy Holdings Limited is wholly owned by Gushan’s chairman and principal executive officer, Jianqiu Yu. He also currently owns 34.8 percent of Gushan’s issued and outstanding ordinary shares.
Gregory Puff, corporate partner and head of Akin Gump’s Hong Kong office and Asia practice, is leading the legal team serving as United States legal advisor to Gushan’s Special Committee. Piper Jaffray is serving as financial advisor to the Special Committee and Walkers is serving as Cayman Islands legal advisor to the Special Committee.
The merger, which is currently expected to close before the end of the third quarter of 2012, is subject to the approval at a meeting of the company’s shareholders and will take Gushan private.
