Amid Coronavirus Pandemic, Akin Gump Corporate Lawyers Pen Thomson Reuters Westlaw Article on Considerations for Significant Equityholders

Thomson Reuters Westlaw has published the article “Who is in control? Considerations for significant equityholders in the current business environment,” written by Akin Gump corporate partners Elazar Guttman and Trey Muldrow and counsel Randall Dorf. The article, which originated as a blog post on Akin Gump’s COVID-19 Resource Center, looks at some of the “challenging decisions that will need to be made” by equity investors and sponsors in light of the coronavirus pandemic.

The authors offer a brief description of who is a controlling equityholder. They then discuss some of the responsibilities associated with such a role as well as some steps to consider in order “to insulate any transaction or interaction between a company and a controlling equityholder from allegations of improper influence by the controlling equityholder.” The article also looks at the issue of waivers of fiduciary duties.
