- Assists public companies with their Securities and Exchange Commission (SEC) reporting obligations and corporate governance matters.
- Advises credit investors in negotiating complex recapitalization and refinancing transactions with distressed companies, both in and out of court.
Shar helps clients access public and private markets in raising capital and creating liquidity for existing equity holders. His clients call upon him to execute intricate, sophisticated transactions within tight time frames.
He has led teams on multiple types of capital-raising matters, ranging from small, private transactions to large public transactions, including initial public offerings.
Shar regularly represents issuers, underwriters and purchasers in registered and private offerings of debt and equity securities. He also provides advice to acquirors, targets, and their financial advisors in public company mergers and acquisitions.
Shar also advises public and private companies in their day-to-day operations in areas including:
- Corporate governance
- Stock exchange listing and other compliance matters
- General corporate advice.
He also has experience in highly complex, large capital-raising and refinancing transactions related to restructurings both in and out of court.
- Represented TWFG, Inc. on its initial public offering of common stock and listing on the Nasdaq Global Select Market.
- Advised a privately held company in its initial public offering of common stock and listing on the New York Stock Exchange. The company had multiple owners, including several very large private equity funds, all of which were looking for liquidity for their investments. The matter involved balancing competing interests and creating liquidity for a large number of stockholders.
- Advised multiple groups of creditors in structuring and executing backstopped equity rights offerings with aggregate proceeds in excess of $1 billion.
- Assisted a public company in recapitalizing to pay a leveraged dividend, increasing the rate of return for investors in the business. In a very short time frame, helped the client to issue secured notes, the proceeds of which the company combined with cash from operations to pay a cash dividend to all of its stockholders. Additionally, within the context of this matter, assisted the board of directors with obtaining a solvency opinion.
- Counseled an unsecured creditors’ committee in acquiring certain assets of an energy company in a chapter 11 proceeding through a newly formed acquisition entity and negotiating equity financing for the entity all at the same time. Formed the new company and closed both the acquisition and financing transaction.
