  • Providing comprehensive tax advice to tax-exempt health care entities on transactions, including health system or entity acquisitions and combinations (including mergers and asset acquisitions), various forms of reorganizations and affiliations (including joint ventures, joint operating agreements and leases) with other tax-exempt and taxable health care providers and the creation of new health care provider entities to conduct activities in the United States and abroad.
  • Counseling on various tax-exempt organization operational and compliance issues, including physician recruitment, inurement and private benefit issues, unrelated business income tax, executive compensation, employment tax and employee benefits (including tax-deferred annuities and deferred compensation) and public charity and private foundation classification issues.
  • Advising boards of directors on corporate governance practices, including member and affiliate structures; the composition, duties and policies of the board of directors; the composition, role and function of board committees (including assisting compensation committees in establishing reasonable compensation to avoid “intermediate sanctions”); and the implementation of conflict of interest policies and other best governance practices.
  • Representing health industry clients in tax controversy matters, including IRS examinations (from limited issue inquiries to comprehensive Coordinated Examination Program (CEP) audits), seeking favorable determination letters and technical advice and contesting IRS determinations.
