HB 449: Utah Prohibits Corporate Conspiracies to Boycott the Fossil Fuel, Firearms, and Other Industries

Summary

HB 449 was enacted in March 2023 and prohibits a company, without an ordinary business purpose, from conspiring with another company to eliminate viable options for a boycotted company to obtain their product or service. This law takes a unique antitrust approach. The law responds to "[l]arge investment companies . . . getting together to destroy an industry for political purposes."

The law defines a boycotted company to mean one that engages in the firearms industry or that fails to meet or commit to meet ESG criteria related to fossil fuels or environmental standards related to GHG emissions.
