SB 6037: Washington Requires Board Diversity Disclosures

Summary

Enacted in March 2020, SB 6037 requires each public company to have a gender-diverse board of directors or to deliver to its shareholders a board diversity discussion and analysis that includes information regarding the public company's approach to developing and maintaining diversity on its board. If a company fails to comply, a shareholder may seek an order in the county superior court requiring the company to deliver the discussion and analysis on board diversity. For purposes of the bill, a board is gender-diverse if, for at least 270 days of the fiscal year, 25% of the board members self-identify as women.
