Adair is an associate in the corporate finance group. She has experience advising lenders on a range of matters including direct lending, private placements, financial restructurings, acquisition finance and leveraged finance transactions.
Prior to joining the firm, Adair trained in the London office of a leading US law firm, which included working in their office in Houston.
- Advised Vitol, a global commodity trading house, in relation to the $2.3 billion takeover of Vivo Energy.
- Represented underwriters and initial purchasers in connection with Tullow Oil plc’s $2.38 billion refinancing, consisting of an offering of $1.8 billion aggregate principal amount of senior secured notes due 2026 and a super senior secured revolving credit facility comprised of a $500 million revolving credit facility and a $100 million letter of credit facility.*
- Represented an ad hoc committee of holders on the $1.125 billion financial restructuring of Nostrom Oil & Gas plc, an oil and gas exploration and production company operating in Kazakhstan.
- Representing institutional investors in privately placed debt and equity and other secured and unsecured financing transactions.
- Representing noteholders in a number of cross-border private placement transactions involving issuers located in North America, Latin America, United Kingdom, Europe and Australia.
