Biography
  • Practice concentrates on mergers and acquisitions, joint ventures and general corporate matters, as well as on economic sanctions and export control issues.

Andrey Kulikov advises Russian and foreign clients on local and cross-border mergers and acquisitions, private equity transactions, establishment of joint ventures and corporate restructuring issues. Andrey also assists clients with economic sanctions and export control issues.

Andrey rejoined Akin Gump after working as an in-house lawyer for a foreign subsidiary of a major Russian bank. He also previously worked in Akin Gump’s Washington, D.C., office.

Representative Work
  • Advised LUKOIL on a wide range of matters, including:
    • The sale of 100 percent of the shares in JSC Arkhangelskgeoldobycha Diamond Mining Company, one of Russia’s largest diamond miners, to Otkritie Group.
    • The $2.05 billion acquisition of 100 percent interest in oil company Samara-Nafta from Hess Corporation.
    • Its Eurobond offerings, including issuance of $2.3 billion Rule 144A / Regulation S notes in two tranches: (i) $1.15 billion 2.80 percent 5.5-year notes due 2027 and (ii) $1.15 billion 3.60 percent 10-year notes due 2031 issued by LUKOIL Capital DAC (a wholly owned subsidiary of PJSC LUKOIL) and guaranteed by PJSC LUKOIL.
    • The provision of financing to a major Russian drilling company and underlying security arrangements.
  • Represented the founders of a company that designs, manufactures and distributes power and data cables for railway rolling stock in connection with the sale of a 60 percent interest to a strategic investor, the related shareholders’ agreement and subsequent exit of the founders from the JV with the strategic investor.
  • Represented Sanors Holding Ltd on its sale of 100 percent in JSC Novokuibyshevskaya Petrochemical Company to PJSC Rosneft.
  • Represented a leading private business group on consolidation of its shareholding in one of Russia’s largest and most successful logistics operators, and on the subsequent sale of 100 percent in it.
  • Represented a Russian investment group on acquisition of a 50 percent interest in a heavily indebted, partially constructed office complex in Moscow and the subsequent sale of the 50 percent interest in the completed complex to PJSC MegaFon.
  • Advised USM Holdings in relation to Mail.Ru Group’s acquisition of 48 percent in VKontakte.
