Biography
  • Project finance lawyer specialized in financing and delivering international natural resources, infrastructure and energy projects.
  • Represents a range of clients (including companies, funds and banks) on supporting the energy transition, including power, energy transition metals and clean hydrogen.
  • Experience covering the full spectrum of debt finance products, including project finance, acquisition finance, royalty finance and streaming.
  • Significant experience advising on emerging market investments across Africa and Latin America.

Nadia is a finance lawyer, advising on complex energy, infrastructure and natural resources projects globally, with a particular focus on the energy transition. Her clients include banks, funds, development finance institutions, export credit agencies, developers and sponsors.

Nadia's expertise covers cross-border project finance, acquisition finance and other forms of structured debt finance (covering senior/subordinated/mezzanine/second-lien structures, covered bonds and private placements).

She has extensive experience advising on emerging market investments.

Representative Work

Energy/Energy Transition and Infrastructure

  • Representing the European Investment Bank (EIB) on the financing and development of various energy projects across Europe.*
  • Representing renewables producer Voltalia on the financing of their solar project, which included the first of its kind green energy deal with the City of London.*
  • Representing Bluejay in connection with its innovative joint venture with KoBold Metals, a mineral exploration company that uses machine learning to guide exploration for new deposits rich in the critical materials required for electric vehicles.*
  • Representing Enel on the sale of a majority stake in 1.7 gigawatts (GW) of renewables plants, both solar and wind, in Mexico.*
  • Representing Standard Bank and Stanbic on their Chinese-sponsored in-country public-private partnership (PPP or P3) roads project in Kenya. Nadia advised on all the finance-related aspects of the deal, including the project financing and the procurement of a Chinese financing solution.*
  • Representing institutional investors (including Pensions Insurance Corporation and Aberdeen Investment) and monoline insurers (Assured Guaranty) on the financing of a number of 50-year concession agreements for the design, construction and operation of student housing.*
  • Representing on the financing and development of numerous roads, schools, hospitals, airports in the PPP/P3 sector.*

Mining and Commodities

  • Representing CBG (owned by Rio Tinto, Alcoa, Dadco and the government of Guinea) on all aspects of their project in Western Guinea in connection with the $1.1 billion expansion of its Sangaredi bauxite mine in western Guinea. Nadia provided bespoke and long-term advice on all aspects of the project, including financing and offtake arrangements, environmental, social and governance (ESG)-related matters and the 2020 expansion financing of the first of its kind shared-use infrastructure project.*
  • Representing investment fund Nebari in respect of their financing to Empress Royalty (a mining investment and streaming/royalty creation company). Nadia advised on the Accordion Credit Facility Agreement, which included the issuance of share purchase warrants to Nebari.*
  • Representing project lenders on the development and financing of a $1.5 billion underground mining project in South Africa. The precious metals deposit of the mine includes palladium and platinum, as well as highly significant quantities of strategic 'electric' metals such as nickel and copper.*
  • Representing Turquoise Hill Resources on the $6 billion development of the Oyu Tolgoi copper and gold mine in Mongolia, including in relation to the project financing, inter-shareholder matters with Rio Tinto and the government of Mongolia (including the cost overrun financing) and the development of a long-term power solution in Mongolia.*
