Biography
- Advises on domestic and cross-border financial restructurings.
Ross Macgregor is a member of the financial restructuring group. He has experience acting for funds, institutional investors and financial institutions on a range of complex consensual and non-consensual cross-border restructurings.
Representative Work
- Noble: Counsel to the ad hoc group of senior secured noteholders in relation to the restructuring of over US$1.5 billion of liabilities of Noble’s commodities trading business, involving security enforcement and a debt-for-equity swap.
- A South African health care company: Counsel to an investment firm in a complex debt for equity swap and associated transactions in relation to a publicly listed South African healthcare business.
- PGS: Counsel to the ad hoc group of term loan lenders to PGS, the Oslo-listed holding company for a global seismic imaging group, in the financial restructuring of US$872 million of the company’s debt.
- Premier Oil:Counsel to the holders of private placement notes issued by Premier Oil plc on the $3.5-billion financial restructuring of Premier Oil, which involved a contested scheme of arrangement and subsequently the successful implementation of restructuring plans and ultimately the reverse takeover of the group.
- Polarcus:Counsel to the largest secured bondholder of Polarcus Limited, a marine seismic exploration business, on the liquidation of Polarcus Limited and the transfer of secured assets to a company owned by the bondholders.
