Shar Ahmed specializes in complex business transactions, with a focus on capital markets transactions and mergers and acquisitions for oil and gas companies.  In addition, he represents public and private companies with respect to various corporate law, governance, stock exchange listing and compliance matters, with a particular focus on representing public energy companies.

Practice & Background

Mr. Ahmed regularly represents issuers, underwriters and purchasers in registered and private offerings of debt and equity securities and acquirors, targets and their financial advisors in public and private company mergers and acquisitions.

Mr. Ahmed received his B.B.A. magna cum laude from the University of Texas at Austin in 1995 and his J.D. in 2001 from Columbia Law School, where he was a Harlan Fiske Stone Scholar and a member of the Business Law Review.

Representative Matters

Mr. Ahmed’s recent representations include advising:

  • a New York Stock Exchange listed company in its all-stock acquisition of another New York Stock Exchange listed company in a transaction valued in excess of $1.2 billion
  • issuers and underwriters of debt and equity securities in 10 separate capital markets transactions over a 12-month period with an aggregate amount of capital raised in excess of $5 billion
  • four private companies (two master limited partnerships and two corporations) in their initial public offerings and listings on U.S. stock exchanges, all in a 12-month period
  • an oil and gas exploration and production company in a private $350 million senior PIK toggle notes offering, followed by an initial public offering of $935 million and listing on the New York Stock Exchange and a $600 million senior notes offering.
