Law360 has published the article “Delphi Deal Dispute Raises COVID-Related M&A Questions,” written by Akin Gump corporate practice co-head Jeffrey Kochian, corporate partners Elazar Guttman and David D’Urso and litigation partner Brian Carney. Originating as a blog post on Akin Gump’s COVID-19 Resource Center, the article examines what could be “one of the first cases of a contested M&A transaction as a result of the current COVID-19 crisis.”

The authors share some observations related to the dispute in BorgWarner Inc.’s planned acquisition of Delphi Technologies PLC, which was announced in late January. They note that the dispute “stems from Delphi’s decision to draw the full available amount under its revolving facility, resulting in a total of $500 million outstanding under the facility, without BorgWarner’s prior written consent.”
