Biography
  • Over 10 years’ experience advising on all aspects of EU and U.K. competition law
  • Proven track record securing merger control, EU Foreign Subsidies Regulation and FDI screening clearances for global transactions  
  • Extensive antitrust investigations practice, including EU cartel proceedings and CMA market investigations.

Adam focuses his practice on European Union (EU) and U.K. competition law. He has significant experience advising leading multinational companies, financial sponsors and private equity funds on the EU and U.K. merger control aspects of complex cross-border mergers and acquisitions (M&A) and restructurings. Adam has also successfully coordinated global merger control reviews across Africa, Asia, Australia, Europe and South America.  

His practice encompasses advising clients in connection with the EU Foreign Subsidies Regulation, and providing strategic guidance on transactions which may require foreign direct investment (FDI) review in the EU and the U.K.

Adam has acted in numerous high-profile antitrust investigations, guiding clients through all phases of EU cartel investigations and U.K. Competition and Markets Authority (CMA) market investigations. He also provides antitrust compliance counselling and training on relationships with competitors, distribution strategies and licensing arrangements.

His sector experience is broad, spanning agriculture, building materials, chemical, infrastructure, energy, fast-moving consumer goods, financial services, information technology (IT)/technology, life sciences, media and transport.

Recognized by The Legal 500 as a key lawyer in the EU and Global Competition section, Adam is noted as having “outstanding knowledge in competition law, especially merger control” and is “THE go to address especially for tailor made advice. Very responsive and always a pleasure to work with.”

Adam regularly publishes on a broad range of competition law matters and is a three-time nominee for Concurrences’ Antitrust Writing Awards. He has a strong interest in the interaction between competition policy and other areas of regulatory policy such as financial services, FDI controls and intellectual property (IP).

  • Advised Petrochemical Industries Company (Kuwait Petroleum Corporation) and Wanhua Chemical Group in their petrochemicals joint venture.
  • Advised Renewi plc in its acquisition by Macquarie Asset Management and British Columbia Investment Management CorporationFoxconn in its intelligent factory automation joint venture with Alphabet.
  • Advised Cerus Endovascular in its acquisition by Strkyer Corporation.
  • Advised Court Square Capital Partners in the sale of Getaroom to Booking Holdings.
  • Advised Mid-Europa Partners in the simultaneous acquisition and combination of UAB Pigu and Hobby Hall Group OÜ.
  • Advised Columna Capital in its acquisition of Datamars with Intermediate Capital Group and Strategic Partners.
  • Advised Sinopec in its petrochemicals joint venture with SIBUR.
  • Advised Travelport as an interested third party in the acquisition of Farelogix by Sabre.

  • Advised Sun Capital Partners in its sale of Coveris Rigid to Lindsay Goldberg.
  • Advised Harbour Energy in its acquisition of Northern North Sea assets from Shell Group.
  • Advised Monsanto Company in its merger with Bayer.
  • Advised Nucor Corporation in its steel joint venture with JFE Steel Corporation.
  • Advised Accenture in its sale of Navitaire to Amadeus.
  • Advised KKR & Co and Riverstone Holdings in the formation of their natural gas and crude oil joint venture, Trinity River Energy.
  • Advised Bain Capital and Advent Corporation in their joint acquisition of Nets Holding.
  • Advised the Carlyle Group in its acquisition of the Industrial Packaging Group.
  • Advised Molson Coors in its acquisition of StarBev and as a third party in the acquisition of SAB Miller by AB InBev.
  • Advised 3G Capital in its joint acquisition with Berkshire Hathaway of H.J. Heinz Company.

International Antitrust Investigations and Litigation

  • Advised a sports governance body in connection with an abuse of dominance complaint to the EU Commission concerning its ticketing practices.
  • Advised a cloud services provider in the EU Commission abuse-of-dominance investigation of NVIDIA.
  • Advised IBM in the CMA cloud services market investigation.
  • Advised Illumina in its appeal to the European Court of Justice of the decision to block its acquisition of GRAIL.
  • Advised a major online platform in connection with various antitrust matters including issues arising from the EU Digital Markets Act and U.K. Digital Markets, Competition and Consumer Act.
  • Advised Crown Holdings in the EU Commission metal packaging investigation and its appeal of the settlement decision to the General Court.
  • Advised Investment Company Institute in various antitrust matters.
  • Advised Securing a significant settlement for a distributor of consumer electronics in a dispute with a leading original equipment manufacturer (OEM).
  • Advised Lafarge Tarmac in the U.K. Competition Commission aggregates, cement and ready-mix concrete market investigation.
  • Advised Samsung SDI, a leniency applicant, in parallel cartel investigations at EU and member state level into cathode ray tubes for televisions and computer monitors.
  • Advised Procter & Gamble, a leniency applicant, in the EU consumer detergents cartel investigation.
