- Advises on equity and debt offerings, securities regulation and corporate governance.
- Also advises on debt restructuring matters.
Anthony Ameduri represents issuers and investors in connection with public offerings and private placements of equity and debt securities, including initial public offerings, follow-on and secondary offerings, high-yield debt offerings and PIPE financings.
He also advises clients on:
- Exchange offers
- Tender offers
- Consent solicitations
- Exchange Act reporting
- Stock exchange rules
- Corporate governance matters
- General corporate matters.
In addition, Anthony has significant experience representing issuers and investors in out-of-court debt restructurings and securities law aspects of bankruptcy proceedings.
Representative Work
- Represented issuers in connection with initial public offerings, follow-on primary and secondary offerings and private placements.
- Represented companies and creditors on financing and securities matters in out-of-court and in-court restructurings.
- Advised Terran Orbital Corporation, a leading small satellite manufacturer primarily serving the United States aerospace and defense industry, in its merger with Tailwind Two Acquisition Corp., a special purpose acquisition company.
- Advised a leading global cloud networking provider on securities and corporate matters during the company’s Chapter 11 bankruptcy proceedings.
- Represented CEVA Logistics AG, a leading global asset-light supply chain management company, in its IPO on the SIX Swiss Exchange and concurrent Rule 144A/Regulation S equity offering. Also represented the company in other Rule 144A/Regulation S high-yield notes offerings.
