• Advised an ad hoc group of lenders of Wheel Pros in connection with a first-in, last-out (FILO) financing and exchange transaction.

• Advised Parallel, a vertically integrated, multi-state cannabis company, in connection with a bridge financing.

Strategic and Private Equity M&A

• Advised Armada Materials, a producer of aggregates, asphalt and other essential construction materials, in its acquisitions of aggregates mining companies across the southeast United States.
• Advised Dorchester Minerals, L.P. (NASDAQ:DMLP) in connection with numerous acquisitions of mineral and royalty interests in exchange for common units.
• Advised an operator in an acquisition of a saltwater disposal well business.
• Advised a private equity firm in its majority investment in an operator and franchisor of automotive maintenance service centers and related add-on acquisitions.
