Biography
  • Serves as lead counsel on large-scale project and corporate finance transactions across the full spectrum of energy & infrastructure assets.
  • Represents clients on projects spanning conventional power, renewable energy assets, energy transition fuels and other emerging technologies.

Brad is a leading project finance lawyer who advises financial institutions, private equity sponsors, developers and other strategic investors on project financings and other transactions related to large-scale energy & infrastructure projects. His practice encompasses transactions involving conventional power, renewable energy, battery storage, data centers, renewable natural gas, transmission assets, liquified natural gas and other infrastructure projects. 

Brad represents clients in the financing of all stages of development, including early stage development financings. His experience includes commercial loans, syndicated loans, private placements and other direct lending arrangements. Brad also provides advice on tax equity and tax credit monetization transactions and other innovative financing structures. Brad’s experience enables him to deliver tailored strategies that meet clients’ commercial and financial objectives.

Representative Work

Renewable Energy

  • Represented Excelsior Energy Capital, a renewable energy infrastructure fund, in connection with a $1.3 billion financing package, including a $460 million loan, $300 million tax equity bridge loan and $250 million in ancillary facilities, for the 682.5 MW Faraday Solar project in Utah County, Utah.
  • Represented Santander, HSBC and Rabobank as lenders in connection with a $140 million revolving credit facility to DSD Renewables to fund the purchase of equipment and pre-construction expenses for energy storage and solar facilities.
  • Represented Convergent Energy & Power, a portfolio company of Energy Capital Partners and leading provider of energy storage solutions, in the closing of a $584.5 million loan from the Federal Financing Bank guaranteed by the Department of Energy.
  • Represented Climate United in financing for Scenic Hill Solar’s solar energy project that will provide power to University of Arkansas. The financing will support 18 solar projects across 13 utility service areas, creating Arkansas’ largest commercial and industrial solar deployment.
  • Represented a climate positive investment firm in making multiple loans under an overall loan facility to landowners for solar projects under development throughout the United States, including Michigan, Arizona, California and Virginia.
  • Represented a leading investor in climate solutions on a construction, bridge and term loan financing to a renewable natural gas company.
  • Represented the sponsor in the acquisition, development and debt and tax equity financing for two 100 MW solar energy projects.
  • Represented the note purchasers in connection with the private placement offering of $500 million of senior secured notes for a portfolio of over 370 utility scale and distributed generation renewable energy projects located throughout the U.S.
  • Represented the sponsor in the development and tax equity financing of an approximately 180 MW wind energy project in Illinois.
  • Represented a tax equity investor for a portfolio of residential rooftop solar systems.
  • Represented the senior lenders in connection with the financing of the 163 MW Midway Wind project, serving the high-demand ERCOT market in San Patricio County, Texas, with a long-dated hedge for its power production.
  • Represented a sponsor in the development and tax equity financing of 197 MW and 148 MW wind energy projects in Texas.
  • Represented Vivint Solar Inc. in the tax equity financing of a portfolio of residential rooftop solar systems.

Conventional Power

  • Represented the lenders in the senior secured bank financing of the $1.3-billion South Field Energy Center, a 1,182 MW natural gas-fired generation project in Ohio.
  • Represented the lenders in the term loan B refinancing of the Carroll County Energy Project, a 700 MW natural gas-fired generation project in Ohio.
  • Represented Avenue Capital / Middle River Power in connection with a private placement of debt in connection with numerous gas-fired projects in California.

LNG

  • Represented Cheniere Energy Partners LP in the commercial bank financings of certain of its subsidiaries and projects.
  • Represented the sponsor in connection with the financing of the ELBA Island Liquefaction facility.

Other Infrastructure

  • Represented HASI, a leading investor in climate solutions, in the $207 million project financing of Vision’s portfolio of renewable natural gas.
  • Represented Apterra Infrastructure Capital, an affiliate of Apollo Global Management, on the $178 million financing for Primary Energy.
  • Represented the senior lender in connection with the $365-million acquisition financing and conversion of an oil refinery into a biofuels refinery.
  • Represented the senior secured lenders in connection with the financing of Vopak and BlackRock’s acquisition of certain terminal and storage facilities from Dow Chemicals.
