- Advises private credit funds, institutional investors, companies and creditor groups on the tax aspects of restructurings, liability management exercises, special situations and distressed investments.
- Represents borrowers, issuers, direct lenders, ad hoc groups and official committees in in-court and out-of-court restructurings, chapter 11 matters and complex recapitalizations.
- Counsels clients on tax structuring for private credit, debt finance, mergers & acquisitions, private equity and opportunistic capital solutions across the capital structure.
- Regularly advises on distressed M&A, debt-for-equity exchanges, tax-efficient recapitalizations, workouts and cross-border transactions.
- Provides practical, commercial tax advice from diligence and structuring through execution, negotiations and post-closing implementation.
Brandon is a tax partner whose practice focuses on restructuring, private credit, special situations and complex transactional tax planning. He advises investment funds, direct lenders, companies, ad hoc creditor groups and official committees on U.S. and cross-border tax issues arising in liability management exercises, in-court and out-of-court restructurings, distressed M&A, debt finance, private equity and other strategic transactions.
With more than 15 years of experience, Brandon is known for helping clients navigate high-stakes transactions and special situations with practical, business-focused tax advice. His work spans the full capital structure and includes tax analysis for exchange offers, debt modifications, debt-for-debt and debt-for-equity transactions, bankruptcy planning, liquidity solutions and bespoke financing structures.
His restructuring tax practice includes chapter 11 cases, out-of-court workouts, liability management transactions, distressed acquisitions and recapitalizations, and tax planning for troubled-company and investor-side transactions. He also advises sponsors, investment funds and public and private companies on the tax aspects of acquisitions, dispositions, joint ventures, financings and other complex business transactions.
Brandon works with clients throughout the transaction lifecycle, from preliminary structuring, diligence and term sheet negotiations to definitive documentation, implementation and post-closing tax matters. Clients turn to him for clear, actionable advice that aligns tax strategy with investment objectives, execution risk and commercial outcomes.

Restructuring/Special Situations
- Advising an ad hoc group of lenders in the chapter 11 cases of American Tire Distributors, one of the largest independent suppliers of automotive parts and supplies, involving $1.9 billion in liabilities.
- Represented the Official Committee of Unsecured Creditors in the chapter 11 case of SVB Financial Group, the former parent company of Silicon Valley Bank, involving more than $3.4 billion in liabilities.
- Represented True Religion, a lifestyle, apparel and accessories brand known for its quality craftsmanship, unique designs and premium stitching, in its sale to ACON Investments LLC and its affiliates.
- Advised the Official Committee of Unsecured Creditors in the chapter 11 cases of Diamond Sports Group and its affiliates, an operator of regional sports broadcast networks for more than 40 teams across Major League Baseball, the National Hockey League and the National Basketball Association, involving more than $8 billion in liabilities.
- Advised the Official Committee of Unsecured Creditors in the chapter 11 case of Steward Health Care, the largest private, physician-led health care network in the U.S.
- Advised an ad hoc group of lenders in the chapter 11 cases of Marelli, a Japan-based multinational automotive supplier, involving $4.9 billion in liabilities.
- Advised an ad hoc group of noteholders in connection with the balance sheet restructuring of Pacific Drilling S.A.
- Advised lenders in connection with $150 million of incremental term loans under a priority lien credit facility to Travelport Finance (Luxembourg) S.à r.l.
- Advised an ad hoc group of first lien lenders for True Religion Apparel Inc. on tax aspects of a $471 million restructuring.
- Advised a group of first lien lenders of Frontera Holdings LLC in the company’s emergence from bankruptcy and the issuance of the credit agreement by the company’s reorganized successor, New Frontera Holdings LLC.
- Advised an ad hoc group of senior noteholders of Aerovias de Mexico, S.A. de C.V. in the chapter 11 cases of Aeroméxico, Mexico’s flagship airline.
