Biography

Callum is an associate in the corporate practice of the London office.

His practice concentrates on cross-border mergers and acquisitions (M&A), financings and private equity transactions.

Callum advises a variety of private equity funds and multinational corporations on M&A, joint ventures and general corporate matters.

Representative Work
  • Advised Bain Capital Special Situations in the £1.2 billion investment it co-led with Pollen Street Capital in the merger between The Markerstudy Group and Atlanta Group.
  • Advised Sungard Availability Services and its affiliates, a global operator of colocation data and disaster recovery centers, in their chapter 11 cases involving more than $500 million in liabilities and the sale of substantially all of the company’s assets.
  • Advised an oil field services company in its investment in a carbon capture technology company.
  • Advised an ad hoc group of unaffiliated lenders on a potential restructuring or recapitalization of GenesisCare, a global health care provider specializing in cancer treatment.
  • Advised Sungard as borrower in a $95.3 million term loan debtor in possession (DIP) facility and an asset-based lender (ABL) DIP facility.
  • Represented an ad hoc group of first lien lenders in connection with providing a multi-currency, delayed draw DIP credit facility to Genesis Specialist Care Finance UK Limited and GenesisCare USA Holdings, Inc.
  • Advised Admaius Capital Partners as the lead investor in its $100 million investment in MFS Africa, the largest digital payments network in Africa.
  • Advised Emirates NBD Capital Limited (the placement agent) on the $200 million issuance of Trust Certificates by Alpha Star Holding VI Limited on behalf of Damac Real Estate Development Limited as obligor.
  • Represented Alpha Bank S.A. on its disposal of a €410 million portfolio of corporate non-performing loans to an entity financed by funds managed by Davidson Kempner Capital Management and Fortress Credit Corp.
  • Advised Solevo MEA B.V. (a Helios Investment Partners portfolio company) on a bolt-on acquisition of a fertilizers and inputs business in Ghana.
  • Represented Intermediate Capital Group as provider of preferred equity and senior debt to support a recapitalisation of a leading UK management consultancy firm.
