Biography
  • Advises on energy & infrastructure transactions, including the development and financing of traditional and emerging energy assets.
  • Represents energy companies, developers, investors and financial institutions in mergers & acquisitions, joint ventures, reserve-based loans project financing and related commercial agreements.
  • Experience negotiating procurement, construction and infrastructure agreements for large-scale energy and energy transition projects.

Farhad is an associate in the projects & energy transition practice. He advises energy companies, developers, investors and financial institutions on complex transactional matters, including mergers & acquisitions (M&A), joint ventures (JVs), project finance and commercial arrangements. His experience spans upstream, midstream and downstream oil & gas assets, as well as power generation and other energy infrastructure projects.

Prior to joining Akin, Farhad worked at Shell Oil Company supporting upstream and downstream operations through the negotiation and management of procurement and infrastructure agreements in the United States and internationally.

Representative Work
  • Represented a publicly traded oil & gas developer in its acquisition of $410 million of natural gas assets.
  • Represented a publicly traded oil & gas developer in its divestment of $30 million of aggregate non-core assets.
  • Represented a publicly traded midstream company in its $280 million acquisition of a 450-mile NGL pipeline system on the Gulf Coast.
  • Represented a publicly traded midstream company in its $450 million acquisition of the remaining common interests in a pipeline system.
  • Represented a South American state-owned oil & gas company on its joint venture with a global energy company for development in the Permian Basin including the JOA and JDA.
  • Represented a privately owned oil & gas company in a $32 million sale.
  • Represented an investment fund as borrower in its ~$30 million facility to purchase power generation equipment.
  • Represented a government-owned corporation in a $50 million facility for offshore oil & gas development.
  • Represented a multinational bank as administrative agent in its preparation and liability management for a potential borrower default on a ~$3 billion credit facility due to the Department of the Interior’s work-stop order affecting wind energy projects.
  • Represented a national bank in its reserve-based loans to a private oil & gas developer and its subsidiaries.
  • Represented an investment fund as potential borrower in evaluating a state-funded loan package to construct a power generation facility.
  • Represented a publicly traded midstream operator in drafting and reviewing marketing contracts, including confirmations, dedications and purchase agreements.
  • Represented an investment fund in its midstream agreements with a Fortune 500 electricity generator.
  • Represented a multinational oil & gas company in settlement and release agreements related to landowner disputes.
