Concentrates on public and private mergers and acquisitions, private equity transactions, shareholder activism and equity capital markets.
Represents clients on a range of UK public takeovers, private acquisitions and disposals, reorganizations, activism campaigns and equity capital market transactions.
Representative Work
- Advised Helios Investment Partners and Helios Fairfax Partners Corporation on their $297 million offer to acquire CAB Payments Holdings PLC (CAB Payments), the holding company for Crown Agents Bank, a U.K.-listed foreign exchange and cross-border payments business.
- Advised LetterOne (L1) on an agreement to transfer the majority of Wintershall Dea’s non-Russia related upstream business to London-listed Harbour Energy plc, the U.K.’s largest oil and gas producer, for a total consideration of $11.2 billion.
- Advised OCM Njord Holdings S.à.r.l. (Oaktree), a company indirectly owned by funds managed by Oaktree Capital Management, L.P. and its affiliates in respect of a number of selldowns of its stake in Torm plc (listed on NASDAQ New York and Copenhagen).
- Advised Elliott Management on a number of UK focused activist campaigns.
- Advised Kennedy Lewis Investment Management (KLIM) and KKR in relation to a $750 million multi-year, multi-jurisdiction auto asset financing arrangement with innovative credit platform, Optio Investment Partners (Optio).
- Advised VIP II Blue B.V., a wholly owned subsidiary of Vitol Investment Partnership II Ltd, on its $2.3 billion takeover of Vivo Energy Plc, a downstream petroleum company with operations in 23 countries across Africa, dual-listed on the London Stock Exchange and the Johannesburg Stock Exchange.
- Advised Palliser Capital on its successful activist campaign concerning Capricorn Energy Plc.
- Advised Trans-Siberian Gold PLC, which operates the Asacha gold mine in Kamchatka in Russia, on its takeover offer from Horvik Ltd for £108 million.
