Biography
  • Represents sponsors, lenders, developers, development banks, private equity and infrastructure funds on mining and energy projects, with a focus on concession and off-take agreements.
  • Extensive experience on international project development and cross-border M&A in energy, infrastructure and natural resources.
  • Advised on projects and transactions in over 55 countries, with a focus on utility-scale electricity generation projects and critical mineral mining projects in emerging markets.

Graham has extensive experience representing sponsors, lenders, developers, development banks, private equity and infrastructure funds on complex cross-border transactions and international project development in the energy, mining and infrastructure sectors.

Prior to joining Akin, Graham spent seven years in Beijing where he was a senior associate at another leading international law firm. He has extensive experience working in emerging markets, including traveling to and negotiating with governments on complex energy and mining projects of national significance.

Graham received his J.D. from Osgoode Hall Law School, LL.M. from Tsinghua University and his B.A. in political science with first class honors from the University of Alberta. Graham also holds a certificate in mining law from Osgoode Hall.

Representative Work

Mining & Critical Minerals

  • Represented a construction company in acquiring and renegotiating a concession for a $3 billion integrated iron ore mine, coal mine, 600 MW coal power plant and steel mill in Tanzania.
  • Represented a nuclear energy company on its $510 million acquisition of minority interests in two uranium mines in Kazakhstan.
  • Represented a mining company on its acquisition of a permit for mining tin, tantalum and lithium in the Democratic Republic of Congo valued at $200 million.
  • Represented a mining company on the $180 million acquisition of a lithium project in Zimbabwe.
  • Represented a mining company on the $168 million acquisition of an Eritrea potash project and subsequent $491 million phase 1 financing.
  • Represented a mining company on its $140 million subscription to a minority interest in a gold project in Ghana.
  • Represented a bank on a $128 million facility to finance a copper and cobalt project in the Democratic Republic of Congo.
  • Represented a mining company on its attempted $105 million acquisition of a gold project in Ghana and subsequent dispute resolutions.
  • Represented a mining company on its $30 million acquisition of a lithium brine project in Argentina.
  • Represented a graphite processing company on its attempted $12.8 million subscription to a Canadian listed company with a graphite project in Guinea, and subsequent national security review in Canada.
  • Represented an insurance company in investigating insurance claims relating to the expropriation of mining projects, including a diamond mine in Zimbabwe and a gold mine in Papua New Guinea.

Energy & Power

  • Represented a construction company on renegotiating a concession agreement and power purchase agreement for a 300 MW BOO hydropower project in Guinea that is part of a $2.9 billion alumina project.
  • Represented a utility equipment manufacturer on negotiating a concession agreement and power purchase agreement for a $400 million 168 MW hydropower project in Papua New Guinea.
  • Represented an urban solid waste management company on its attempted acquisition of a 1200tpd BOO waste-to-energy plant in Vietnam valued at $146 million.
  • Represented an insurance company in reviewing concession agreements, power purchase agreements, onshore/offshore EPC agreements and land lease projects for a $700 million 2x500 MW solar power project in Uzbekistan.
  • Represented an energy company on successfully bidding on a $96 million 50 MW BOOT wind power concession in Namibia.

Infrastructure 

  • Represented a logistics company on negotiating a concession agreement for a $405 million port in Peru.
  • Represented a construction company on entering into a concession agreement for a $365 million toll expressway in Bangladesh.

Battery-Related Production Facilities

  • Represented a metals processing company on entering into front end loading agreements and a joint venture agreement for the development of a $400 million cathode active material production facility in France.
  • Represented a metals processing company on entering into a joint venture agreement for the development of a $850 cathode active material production facility in Finland.
