Herman represents clients in the formation and operation of private investment funds, including private equity funds, credit funds and hedge funds. He advises investment advisers and other market participants on all regulatory and compliance aspects of their businesses, including obligations under the Investment Advisers Act of 1940 and the Investment Company Act of 1940. Herman helps clients navigate rules and filings, including Form PF, Form ADV, Form 13H and Schedule 13G.
Prior to joining Akin, Herman was an attorney advisor at the SEC Division of Investment Management’s rulemaking office, where he advised the Commission, investment advisers, investment companies and the public on securities regulatory, compliance and policy matters. He drafted proposed rulemakings, adopted rulemakings, analyzed comment letters from the public, industry groups and regulatory organizations and analyzed rules and forms for the Commission.
Before his tenure at the SEC, Herman was an associate at another international law firm in Washington, D.C., where he represented registered investment advisers, registered investment companies, public and private companies and business development companies on regulatory and compliance matters.
Herman was previously an associate at another global law firm in Baltimore, MD, where he advised public companies on securities regulatory, public company reporting, compliance and transactional matters under the Securities Act of 1933 and Securities Exchange Act of 1934. During law school, he was a summer associate at another international law firm, assisting with a wide range of securities matters.
